This Non-Disclosure Agreement ("Agreement") is made between Netspective Communications LLC ("Disclosing Party"), located at 1802 Brightseat Rd. Suite 101, Landover, MD 20785, and the undersigned recipient ("Recipient"). WHEREAS, the Disclosing Party has developed Opsfolio Suite and is providing access to its SOC 2 Report through an authenticated user account, and the Recipient desires to access and evaluate such Confidential Information under the terms of this Agreement.

1. Confidential Information

The Confidential Information includes the SOC 2 Report and any related proprietary data provided by the Disclosing Party through the Opsfolio Suite platform.

2. Access and Use

Access to the SOC 2 Report is restricted to authenticated users of the Opsfolio Suite platform. Only a logged-in user with valid credentials may access and download the SOC 2 Report. User authentication credentials are personal, non-transferable, and may not be shared with any third party. The SOC 2 Report may only be accessed and used for evaluating the Product in compliance with the Recipient's internal security, regulatory, and business policies.

3. Obligations of Recipient

The Recipient agrees to:

• Maintain the confidentiality of the SOC 2 Report and any related Confidential Information.
• Not disclose the Confidential Information to any third parties except necessary employees or agents who are bound by similar confidentiality obligations.
• Use the Confidential Information solely for evaluation purposes as described above.
• Take reasonable measures to safeguard login credentials and prevent unauthorized access.

4. Exclusions

Confidential Information does not include information that:

• Becomes publicly available through no breach of this Agreement;
• Is rightfully received from a third party without restriction; or
• Is independently developed by the Recipient without use of the Confidential Information.

5. Term and Termination

The Recipient will maintain the confidentiality of the Confidential Information for one (1) year from the date of disclosure. Upon termination of this Agreement or upon written request by the Disclosing Party, the Recipient shall destroy or return all copies of the Confidential Information within seven (7) business days.

6. Electronic Agreement

By creating an account, logging in, accessing, or downloading the SOC 2 Report through the Opsfolio Suite platform, the Recipient acknowledges and agrees to be bound by this Agreement. This electronic acceptance is binding and equivalent to a physical signature.

7. Indemnification

The Recipient agrees to indemnify and hold harmless the Disclosing Party against any damages, losses, or expenses arising from a breach of this Agreement.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Maryland.

Acknowledgment

By logging into the Opsfolio Suite platform and accessing or downloading the SOC 2 Report, the Recipient acknowledges and agrees to be bound by the terms of this Agreement and represents that they have the legal authority to bind the entity, if applicable, to these terms.
